Terms of Service

1. Definitions

"Statly" refers to the Chrome browser extension that analyzes publicly available Instagram page data, together with its optional companion features such as the Statly API described in these Terms.

"User", "you", or "your" refers to any individual who installs or uses the Statly extension.

"Service" refers to all functionality provided by Statly, including analytics calculations, data export features, the Statly API, subscription features, and related services.

"Instagram" refers to the social media platform operated by Meta Platforms, Inc.

2. Description of the Service

Statly is a browser extension designed to analyze publicly available Instagram page content. When you scan a profile directly in your browser, the extension reads content already visible on Instagram pages and performs analytics calculations locally on your device.

Statly may provide features such as:

• Instagram content analysis
• Engagement and performance calculations
• Performance insights and visualizations
• Watchlist, folders, and tagging tools for organizing tracked profiles
• Data export tools (including CSV and spreadsheet export)
• An optional Statly API for triggering scans and retrieving analytics programmatically

Most Instagram analysis performed by Statly occurs locally on your device, and standard in-browser scanning does not transmit Instagram content or analytics results to servers we control. However, certain optional features process data through our infrastructure: the Statly API (Section 5A) initiates the scans you request through a server-side endpoint, and our licence-verification and free-tier rate-limiting systems transmit limited technical data as described in our Privacy Policy.

3. Eligibility

You must be at least 16 years old to use Statly. By using the extension, you represent that:

• you are at least 16 years of age
• you have the legal capacity to enter into these Terms
• you will comply with all applicable laws and regulations

4. Relationship with Instagram

Statly is an independent tool and is not affiliated with, endorsed by, or sponsored by Instagram or Meta Platforms, Inc. All trademarks, service marks, and platform names remain the property of their respective owners.

Users are responsible for ensuring that their use of Statly complies with Instagram's own terms of service and policies.

5. Subscription and Billing

Certain features of Statly may require a paid subscription. Subscriptions may be offered on a monthly or yearly basis.

Payments are processed by Lemon Squeezy, which acts as the Merchant of Record for subscription transactions. As Merchant of Record, Lemon Squeezy is responsible for processing payments, collecting taxes where applicable, and handling billing infrastructure.

Statly does not receive or store your payment card details.

5A. Statly API

Statly includes an optional API that allows you to trigger profile scans and retrieve reel analytics programmatically, without operating the extension interface directly. When you use the API, the scan requests you initiate are processed through a server-side endpoint that fetches the requested publicly available Instagram analytics and returns them to you.

Use of the API is entirely at your initiative. You are responsible for the requests you make through it, for keeping any credentials associated with your account secure, and for ensuring your use of the API complies with applicable laws, Instagram's terms and policies, and these Terms. We may apply rate limits, technical safeguards, or other restrictions to the API to maintain service stability and prevent abuse.

6. Automatic Renewal

All subscriptions renew automatically at the end of each billing period unless cancelled. By purchasing a subscription, you authorize Lemon Squeezy to charge your payment method automatically for the renewal term unless you cancel before the renewal date.

7. Cancellation

You may cancel your subscription at any time through the Lemon Squeezy billing portal associated with your purchase. If you cancel:

• your subscription will remain active until the end of the current billing period
• you will not be charged for the next renewal period

8. Refund Policy

Payments for Statly subscriptions are non-refundable except where a refund is required by applicable law. Because Lemon Squeezy acts as the Merchant of Record, refund requests may be processed in accordance with Lemon Squeezy's billing policies and applicable consumer protection laws.

Statutory consumer rights are not affected. If you are a consumer in the European Union or another jurisdiction granting a statutory right of withdrawal for digital purchases, that right applies as provided by law. Where you request immediate access to paid digital features at the point of purchase, you may be asked to acknowledge that provision begins immediately and that your statutory withdrawal right may be affected accordingly.

9. Acceptable Use

You agree not to use Statly to:

• violate any applicable law or regulation
• infringe the rights of third parties
• interfere with the operation of Instagram or other services
• attempt to bypass service limitations
• exploit or abuse free-tier usage limits
• distribute malware or malicious code
• use the extension in a manner intended to cause harm

You also agree not to:

• copy, reproduce, or redistribute Statly
• reverse engineer or attempt to extract the source code of the extension
• modify or create derivative works of the extension
• resell, sublicense, or commercially exploit the service without permission

10. Exported Data Responsibility

Statly may allow users to export analytics results or other data derived from publicly available Instagram content, whether through the extension's export tools or the Statly API. You are solely responsible for how you use any exported or retrieved data. You agree to ensure that your use of such data complies with applicable laws, Instagram's terms and policies, and the rights of third parties. Statly does not monitor or control how users use exported data.

11. Intellectual Property

Statly, including its software, design, features, and functionality, is the intellectual property of Miltiadis Themelis and is protected by applicable copyright and intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the extension for personal or business purposes. No ownership rights are transferred to you.

12. Service Availability and Platform Dependency

Statly depends on the functionality and availability of third-party platforms, including but not limited to Meta Platforms and its service Instagram. Because these platforms are outside our control:

• the structure, layout, or availability of Instagram may change at any time
• certain features of Statly may become temporarily unavailable or incompatible
• Instagram may introduce technical or policy changes that affect the functionality of analytics tools

If Statly experiences service interruptions or compatibility issues due to platform changes, we will make reasonable efforts to restore functionality where possible, but we cannot guarantee uninterrupted service or continued compatibility.

13. Disclaimer of Warranties

Statly is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to:

• fitness for a particular purpose
• merchantability
• non-infringement
• accuracy of analytics results
• uninterrupted or error-free operation

We do not guarantee that analytics results will be accurate, that Instagram data will remain accessible, or that the extension will function indefinitely.

14. Limitation of Liability

To the fullest extent permitted by law, Miltiadis Themelis shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, or service interruptions arising from or related to the use or inability to use Statly.

Our total liability for any claim relating to the service shall not exceed the greater of (a) the amount paid by you for the service during the twelve (12) months preceding the claim, or (b) the minimum amount required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights and liability for death, personal injury, fraud, or gross negligence.

15. Indemnification

You agree to indemnify and hold harmless Miltiadis Themelis from any claims, liabilities, damages, or expenses arising from your use of Statly, your violation of these Terms, your misuse of exported or API-retrieved data, or your violation of third-party rights or applicable laws.

16. Termination

We reserve the right to suspend or terminate access to the service at any time if we believe a user has violated these Terms or used the service in a harmful or abusive manner. We may also modify, discontinue, or restrict access to any part of the service at any time.

17. Privacy

Your privacy is important to us. Our data processing practices are described in the Statly Privacy Policy, which forms part of these Terms.

18. Changes to These Terms

We may update these Terms from time to time. If changes are made, the updated version will include a revised Effective Date. Continued use of Statly after the updated Terms become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Greece, without regard to conflict of law principles. This does not deprive you of the protection afforded by mandatory consumer protection provisions of the law of your country of residence.

20. Affiliate Program

Statly operates an affiliate program that allows individuals to earn commissions by referring new paid subscribers. Participation in the affiliate program is subject to additional terms made available through the affiliate portal associated with the Statly Lemon Squeezy store. Miltiadis Themelis reserves the right to modify or discontinue the affiliate program at any time.

21. Chrome Web Store Compliance

Statly is distributed through the Google Chrome Web Store and must comply with the policies established by Google for Chrome extensions. By installing or using Statly, you agree that:

• your use of the extension must comply with all applicable Chrome Web Store policies
• you will not attempt to misuse, manipulate, or interfere with the operation of the extension within the Chrome browser environment
• you will not attempt to bypass any safeguards, security mechanisms, or usage limitations implemented within Statly

Violation of applicable Chrome Web Store policies may result in suspension or removal of access to the extension.

22. Public Data Use

Statly analyzes publicly available information that is already visible when viewing Instagram pages. Statly does not:

• access private Instagram accounts
• bypass authentication mechanisms
• access login credentials
• access private messages or restricted content

Users are responsible for ensuring that their use of Statly complies with applicable laws, Instagram's terms of service, and the rights of third parties.

23. No Data Brokerage or Resale

Statly is designed primarily as a client-side analytics tool. We do not operate as a data broker and do not sell, rent, or commercially distribute Instagram user data. Analytics results generated through standard in-browser scanning are produced locally on your device from publicly visible page information, and any data processed through optional server-side features (such as the Statly API or rate-limiting systems) is handled only as described in our Privacy Policy and is not sold or shared for commercial purposes.

24. Fair Use and Abuse Prevention

To maintain a stable service for all users, Statly may enforce certain technical limitations, including but not limited to:

• scan limits for free-tier users
• licence verification for paid features
• network- and installation-based safeguards designed to detect and prevent abuse

Users agree not to attempt to circumvent these limitations or otherwise interfere with the operation of the service.

25. Entire Agreement

These Terms, together with the Statly Privacy Policy, constitute the entire agreement between you and Miltiadis Themelis regarding the use of Statly and supersede any prior agreements or understandings.
